    Structure Overview

    Equity Stake: Typically 1% – 2.5% equity, fully vested over 18–24 months, depending on stage and scope. Higher for earlier-stage companies or heavier involvement.

    Vesting Schedule: Monthly or quarterly vesting over the engagement term; milestone-based vesting also possible (e.g. funding rounds, legal infrastructure built).

    Board or Advisory Seat: Non-fiduciary board observer or formal advisory board role, with regular strategy/legal check-ins.

    Service Scope: Integrated Legal Partner: Contracts, entity structure, fundraising support, employment, compliance, IP, growth advisory.

    Engagement Term: 18–24 months with renewal, extension, or conversion to hybrid model (e.g. equity + discounted cash) post-term
